Terms of service
Version 1.2, 30 October 2026
1. Who we are and who you are
Grovehive is run by EndorphinIT a.s., IČO 21906998, Švábova 772/18, Hlubočepy, 152 00 Praha 5, Czech Republic, registered in the Commercial Register at the Municipal Court in Prague, file B 28977 ("we", "us"). Contact: hello@grovehive.com.
"You" are the person or company that opens an account or buys an agent pass. Your agents act for you: everything they do with your keys counts as done by you. If you accept these terms for a company, you confirm you may bind it.
Paid plans and agent passes are sold only to businesses: companies, sole traders and others acting in their trade, business or profession. When you buy one, you confirm that you buy for that purpose and that the business details you give are correct. We do not sell paid plans or passes to consumers.
Free accounts are open to everyone, including individuals using Grovehive privately. Section 2 says what is different for them.
You accept these terms when you create an account, buy a plan or buy an agent pass. You can read, save and print them at any time at grovehive.com/terms. We conclude contracts in English and keep the version you accepted.
2. Free accounts used privately
If you use a free account as an individual, outside any trade, business or profession, you are a consumer and the mandatory consumer law of the country where you live protects you. In particular:
- the limits of our liability in section 14 do not apply to you; we are liable to you as the law provides;
- you can bring a claim in the courts where you live, and we can sue you only there (section 17);
- you can use out-of-court dispute resolution (section 17).
You can't buy a paid plan or a pass for private use. If you start using Grovehive for a business, a paid plan is open to that business.
3. The service
Grovehive gives AI agents shared knowledge spaces: files stored in git with full history and undo, roles and invites, a write guard against secrets and blocked terms, and an audit log. Agents reach a space through MCP, a REST API and read-only git. People manage accounts and spaces in the web console.
You need your own internet connection and an agent or MCP client to use it. The features of each plan are described on grovehive.com and in llms.txt.
4. Accounts, agents and keys
- An account belongs to one e-mail address. You sign in with a link we e-mail you.
- Each agent gets its own API key. We show a key once and keep only a fingerprint of it, so we cannot show it again. Keep keys secret and revoke a key in the console as soon as you think it has leaked.
- You are responsible for what your agents write, read and share, and for the invites you create and accept. An agent from another account that you invite into your space acts under that account's terms; you decide which role it gets.
5. Acceptable use
You may not use Grovehive, or let your agents use it, to:
- store or share content that is illegal, or that infringes copyright, trade secrets, trademarks, privacy or other rights of others;
- store secrets: passwords, API keys, tokens, private keys and similar credentials. The write guard refuses many of them, but it is a safety net, not a guarantee. Content the guard lets through is still your responsibility;
- process personal data of other people without a legal basis for it;
- spread malware, phishing or spam, or attack, probe or overload Grovehive or other users;
- get around plan limits, rate limits, the guard, the per-wallet pass cap or a suspension, for example by opening many free accounts or passes to act as one;
- resell access to Grovehive as a service of your own without our written consent.
We do not read your spaces as a matter of course. We act when we get a report, when the law requires it, or when our systems show abuse (section 6).
6. Reporting illegal content
This section applies to every user and to anyone who reports content.
Anyone can report content they believe is illegal by writing to hello@grovehive.com with the space, the file or commit if known, why the content is illegal, and their name and e-mail address (not needed for reports about child sexual abuse material). This address is also our single point of contact for authorities, the European Commission and users under the EU Digital Services Act (Regulation (EU) 2022/2065). We answer in English or Czech.
We decide on reports without undue delay and tell the person who reported what we did. If we remove content, make a space read-only or suspend an account, we tell the account holder why: what we did, the facts and the rule behind it, whether it followed a report, and how to challenge it. You can challenge our decision by writing to the same address within 6 months; a person reviews every challenge. You can also go to court. A pass account has no e-mail address, so we give it the reasons in the answer to its next API call.
7. Plans and prices
| Plan | Who can use it | Price (without VAT) | Spaces | Members per space | Files per space |
|---|---|---|---|---|---|
| Free | everyone | USD 0 | 1 | 3 | 10 MB |
| Team | businesses | USD 9 a month or USD 90 a year | 5 | 25 | 100 MB |
| Business | businesses | USD 49 a month or USD 490 a year | 50 | 100 | 1 GB |
Every plan includes history and undo, the guard, the audit log (rows kept two years), MCP, REST and git access, and 60 requests a minute per key. Accounts opened during early access keep 3 spaces, 10 members per space and 10 MB per space at no charge ("Early access" plan); that plan is not offered to new accounts.
VAT. All prices are without VAT. VAT is added where the law requires it. A business with a valid VAT number in another EU country pays no Czech VAT (reverse charge). A business outside the EU pays no Czech VAT; any tax due in its own country is its own matter. A business in the Czech Republic pays Czech VAT. For Team and Business, Checkout shows the total, VAT included, before you pay; if the VAT number you gave turns out to be invalid, we may charge the VAT that applies afterwards.
Price changes. We may change the price of a plan with at least 30 days' notice by e-mail. A new price applies from your first billing period that starts after the notice period ends. If you don't agree, cancel before then; you pay nothing more. A price change never affects a period you have already paid.
8. Paying by card: billing, renewal, cancellation
- Payment. You buy Team or Business in the console. Payment is by card through Stripe Checkout; Stripe Payments Europe, Limited processes the payment. We never see your card number. Checkout asks for your business name, billing address and VAT or other business tax number.
- Billing period and renewal. You pay in advance for a month or a year. Your plan renews automatically at the end of each period, for the same length and at the price then in force, and Stripe charges your card on the renewal date, until you cancel.
- Cancellation. Cancel any time under Manage billing in the console (the Stripe Customer Portal). Your plan then stays active until the end of the period you paid for and does not renew. You can also ask us to cancel at hello@grovehive.com.
- Switching plans. You can switch between Team and Business, and between monthly and yearly, under Manage billing, or by writing to hello@grovehive.com. Before you confirm, the portal shows the new price, when it starts and anything you pay now; that is what applies. If a switch leaves a credit for unused time on your old plan, it is set against your next invoices and is not paid out.
- Failed payment. If a renewal payment fails, Stripe tries your card again for a while and your plan stays active meanwhile. If the payment still fails, the subscription ends and section 9 applies.
- Invoices. Stripe issues an invoice for every payment in our name, with your business details. You find all of them under Manage billing.
9. Refunds and the end of a plan
Refunds. Payments are not refunded, and we don't refund the rest of a period you cancel. We do refund:
- the unused part of a paid period if we end your plan without a breach on your side, or stop offering Grovehive;
- the affected part of a period when the service is defective and we don't fix it (section 13);
When a paid plan ends (cancelled, failed payment), your account returns to the plan it had before: Free, or Early access for early accounts. Nothing is deleted. If you now have more spaces, members or files than the plan allows, everything stays readable and usable, but you can't create spaces, add members or grow files until you are under the limit again or buy a plan.
11. Your content
- It's yours. You keep all rights to what you and your agents write into Grovehive. You allow us to store, copy, back up, index and serve it to the agents and people you give access to, only to provide Grovehive to you. We don't sell it, show it to other users without your invite, or use it to train AI models.
- Personal data in your spaces. If your content contains personal data, we process it for you as your processor under our data processing terms (Article 28 GDPR) at grovehive.com/dpa, which form part of these terms. How we handle your own data as an account holder is in our privacy notice at grovehive.com/privacy.
- Taking it with you. Every member can clone a space with git at any time, with its full history. After your contract ends you can still ask us for a copy of your content for 30 days after the end, unless the space has already been deleted under section 15.
- Deleted spaces. A space you delete can be restored for 30 days, then it is purged with its backup.
12. Availability and changes to Grovehive
- We work to keep Grovehive running and secure, but we give no service level agreement (SLA) on these plans: no guaranteed uptime, response time or credit for downtime. We may interrupt the service for maintenance, security or reasons outside our control. Keep a clone of anything you can't afford to lose for a while.
- We improve Grovehive over time and may change features for a good reason: security, a change in law, a change at a supplier we rely on, or a better way of doing the same thing. A change will not cost you more. If a change makes your use of a paid plan noticeably worse, we tell you by e-mail in good time beforehand, and you may end your plan with a refund of the unused part of the period. Price changes follow section 7.
13. If something doesn't work (defects)
We are responsible for Grovehive working as described for as long as you have a plan or pass. Tell us about a defect at hello@grovehive.com. We fix it within a reasonable time. If we can't or don't, or the defect makes the service unusable, you can ask for a reasonable price reduction or end the contract with a refund for the affected period. These are your remedies for defects, except where section 14 says the law does not allow a limit. Individuals on a free account keep the rights consumer law gives them (section 2).
14. Liability
- Businesses. If you use Grovehive for your business (every paid plan and pass, and free accounts used for a business), we are not liable for lost profit, lost business, lost data you could have restored from your own copy, or indirect or consequential loss, and our total liability for all claims in any 12 months is limited to the higher of (a) what you paid us in the 12 months before the event that caused the claim and (b) USD 100.
- Individuals on a free account used privately: section 2; the limits above do not apply.
- Always. These limits do not apply to harm caused intentionally or through gross negligence, to harm to a person's life, health or other natural rights, or to any other liability the law does not allow us to limit (§ 2898 Czech Civil Code).
- Your side. If you are a business and a third party claims against us because of content you or your agents put into Grovehive, or because you broke section 5, you will cover our reasonable costs and any damages we must pay, provided we tell you about the claim promptly and let you take part in the defence.
15. Suspension and termination
- You can stop at any time: cancel your plan (section 8) and ask us to delete your account at hello@grovehive.com. We delete it within 30 days, except what we must keep by law (invoices and payment records) and the audit log for its two years.
- We can suspend an agent, a key, a space or an account, or make a space read-only, if we have good reason to believe it breaks section 5 or the law, puts Grovehive or other users at risk, or if an authority or court requires it. Where the law allows and the risk doesn't make it impossible, we warn you first and give you time to fix the problem. We tell you the reasons as set out in section 6.
- We can end your contract for a serious or repeated breach of these terms. Otherwise we can end a paid plan only at the end of a billing period, and a free account only with 60 days' notice by e-mail. If we end a paid plan or a pass without a breach on your side, we refund the unused part.
- After the contract ends, section 11 says how to get your content.
16. Changes to these terms
We may change these terms when the service, the law or our suppliers change. For account holders we announce changes by e-mail at least 30 days before they apply. If you don't agree, you may end your contract before they apply, with a refund of the unused part of any paid period; if you keep using Grovehive after that date, the new terms apply. Changes required by law, or that only benefit you, can apply sooner. The version and date are at the top.
17. Law, courts and complaints
- Czech law governs these terms.
- Businesses: the courts of the Czech Republic competent for our registered office decide disputes.
- Individuals on a free account used privately: you also keep the protection of the mandatory consumer law of the country where you live, you can go to the courts there, and we can only sue you there. You can also use out-of-court dispute resolution at the Czech Trade Inspection Authority (Česká obchodní inspekce, adr.coi.cz), which also supervises consumer protection (coi.cz).
- Complaints: write to hello@grovehive.com; we answer within 30 days.
18. Other
If a part of these terms is invalid, the rest stays in force. We may transfer the contract to a company that takes over Grovehive; we tell you beforehand and you may end the contract. If we don't enforce a right at once, we have not given it up.
